Also includes certain entities (e.g., trusts, corporations, or LLCs) with assets exceeding $5 million or owned entirely by accredited investors.
- Defined under Rule 501(a) of Regulation D. Generally includes individuals with a net worth over $1 million (excluding a primary residence) or annual income over $200,000 ($300,000 with a spouse or partner) in each of the past two years, with a reasonable expectation of the same for the current year.
- Qualified Client
- Defined under Rule 205-3 of the Investment Advisers Act. Generally includes individuals or entities with at least $1.1 million under management with the adviser or a net worth over $2.2 million (excluding primary residence). Qualified clients are permitted to invest in certain private funds that charge performance-based fees.
- Qualified Purchaser
- Defined under Section 2(a)(51) of the Investment Company Act. Typically includes individuals or families owning $5 million or more in investments, and entities owning $25 million or more in investments. Qualified purchasers may invest in private funds relying on the Section 3(c)(7) exemption.
- Financial Professional (RIA or Broker-Dealer)
- A registered investment adviser, broker-dealer, or associated person of such firm who is authorized to evaluate or recommend alternative investments on behalf of clients.
Includes investment advisory representatives, registered representatives, or institutional due-diligence professionals at regulated firms.
